1. Acceptance of Terms
By accessing this website or engaging Framework's services — whether by submitting an inquiry, signing a proposal, or entering into a Statement of Work — you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use this website or engage our services.
These Terms constitute a legally binding agreement between you (the client) and Framework eLearning Studio, operated by Angelica Serratos, Nuevo León, Mexico.
2. Services
Framework provides eLearning design and development services, including but not limited to instructional design, custom course development, video production and animation, AI-enhanced learning content, and accessibility consulting.
The specific scope of services, deliverables, timelines, and fees for each engagement are defined in a written proposal or Statement of Work (SOW) agreed upon before work begins. In the event of any conflict between these Terms and a signed SOW, the SOW governs.
3. Project Engagement
All projects begin with a signed proposal or Statement of Work. Work does not commence until Framework has received both a signed agreement and a deposit — typically 50% of the total project fee, unless otherwise specified in the proposal.
Final deliverables will be released to the client upon receipt of the remaining balance in full. Framework is not obligated to transfer final files or publish completed work until all outstanding invoices are settled.
4. Intellectual Property
Upon receipt of full payment for a project, the client receives full ownership of the final deliverables produced by Framework for that engagement. This transfer includes all associated source files unless the SOW specifies otherwise.
Framework retains the right to display completed work — including screenshots, recordings, and descriptions — in its portfolio, case studies, and marketing materials, unless the client requests confidentiality in writing prior to project completion. Confidentiality requests will be honored at Framework's discretion and must be included in the signed SOW to be binding.
Any third-party assets incorporated into deliverables (stock footage, licensed fonts, stock music, etc.) are subject to their respective licensing terms. The client is responsible for ensuring that any content they provide to Framework does not infringe third-party rights.
5. Revisions
Each project includes three (3) rounds of revisions per deliverable, unless otherwise specified in the proposal. A "round of revisions" means a consolidated set of feedback submitted in a single communication after reviewing a draft.
Revision requests submitted beyond the included rounds, or feedback provided in multiple separate passes within a single revision round, will be treated as additional revision requests. Additional revisions are billed at the hourly rate specified in the proposal. Framework will notify the client before additional charges are incurred.
6. Turnaround & Timelines
Project timelines are agreed upon in writing at the start of each engagement. Framework will use reasonable efforts to deliver work on schedule.
Timelines are contingent on timely receipt of client-provided materials, feedback, and approvals. Delays caused by late client feedback, delayed content provision, or change-of-scope requests will extend the project timeline accordingly and do not constitute a breach or delay on the part of Framework. Framework will communicate timeline impacts as soon as they become apparent.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Framework shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the services provided, even if Framework has been advised of the possibility of such damages.
Framework's total liability for any claim arising out of or related to a specific deliverable shall not exceed the amount actually paid by the client for that deliverable. This limitation applies regardless of the legal theory under which the claim is brought.
8. Governing Law
These Terms of Service and any disputes arising from them are governed by and construed in accordance with the laws of Nuevo León, Mexico, without regard to its conflict of law provisions.
In the event of a dispute, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days before initiating any formal proceedings. If the dispute cannot be resolved through negotiation, it shall be submitted to the competent courts of Nuevo León, Mexico, and both parties consent to the exclusive jurisdiction of those courts.
